These Terms of Service govern use of the ProVia Hub website and the intake-led process through which ProVia Hub evaluates and scopes potential work. By using this website, you agree to these terms and to applicable laws and regulations.
1. Website Use
You may use this website only for lawful purposes and in a way that does not interfere with the website, its security, or other users.
2. Services and Engagement Model
ProVia Hub provides selective backend and systems engineering services through a structured intake and scoped engagement model.
Submitting an intake does not create a client relationship, guarantee acceptance of work, or obligate ProVia Hub to provide services.
Any actual project scope, timing, fees, deliverables, and ownership terms are defined only in a separate written agreement.
3. Intake Submissions
You agree to provide accurate, current, and complete information in any intake or related submission. ProVia Hub may decline, ignore, or close inquiries that are incomplete, misleading, abusive, or outside its operating model.
4. Payments and Project Terms
If ProVia Hub accepts work, payment obligations, deposits, invoice timing, and consequences of late payment are governed by the applicable project agreement or statement of work.
5. Confidentiality
ProVia Hub will handle shared information with reasonable care, but a separate NDA or project agreement may be required when either party needs specific confidentiality obligations.
6. Intellectual Property
Unless a separate written agreement says otherwise, all website content belongs to ProVia Hub or its licensors. Intellectual property ownership for client work is governed by the signed project documents for that engagement.
7. No Warranty
This website is provided on an “as is” and “as available” basis. ProVia Hub does not guarantee uninterrupted availability, absolute accuracy, or error-free operation.
8. Limitation of Liability
To the fullest extent permitted by law, ProVia Hub is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the website. Any liability related to paid services is governed by the applicable written agreement.
9. Third-Party Links and Services
This website may link to or rely on third-party services, including scheduling, automation, and workflow tools used to operate ProVia Hub’s intake and delivery process. ProVia Hub is not responsible for the content, policies, or availability of third-party services.
10. Changes to These Terms
ProVia Hub may update these terms from time to time. Changes are effective when posted on this page with an updated date.
11. Governing Law
These terms are governed by the laws of Ontario, Canada, and disputes are subject to the courts of Ontario.
